  • Assisted worldwide marine construction company with the review of various procurement contracts and the preparation of master subcontractors and services agreements (under U.S. and Mexican law) relating to work to be performed in the U.S. and Mexico.
  • Assisted one of the largest commercial retail energy suppliers in North America in conjunction with the acquisition of a natural gas/oil fired, steam power generation facility, including the preparation of Operation and Maintenance Agreement and Capacity Sale and Tolling Agreements.
  • Assisted natural gas power plant and coal fired power plant with the preparation of standard form Master Services Agreements (MSAs) and Consulting Services Agreements (CSAs); negotiation of MSAs and CSAs with multiple contractors; preparation and presentation of training seminars to in-house business people and plant managers on the negotiation of various key provisions (including indemnity, insurance and limitations of liability) in MSAs and CSAs.
  • Assisted seismic data marketing company with the negotiation of various master agreements for the licensing of seismic data


Real Estate Law

Real Estate Law

The Firm’s real estate law practice provides services related to the structuring and negotiation of commercial real estate matters. The Firm represents owners, developers, purchasers, sellers, landlord and tenants of commercial properties in a variety of transactions including:

  • Assisted international provider of specialized oilfield services and equipment with the purchase and sale of several commercial properties, including a tract of land which involved the negotiation of a construction contract to build an office/warehouse building, detention easement, and declaration of protective covenants and easements.
  • Assisted international paper and packaging products company with the ongoing sale of multiple tracts of raw timber land.
  • Assist parties in the negotiation of commercial Lease Agreements and Construction Work Letters for improvements to administrative offices.

The Firm's U.S. - Mexico Practice was formed with the goal of assisting foreign investors as well as U.S. and Mexican corporate clients understand the legal norms, frameworks and differences between the legal systems of each country that can potentially affect their transactions abroad.

  • Advise clients on U.S. and Mexican entity selection as well as the corresponding management structures, cost of operating the business, personal liability of the owners, labor issues including employment at will, and ease of transferability of ownership based on the type of legal entity selected
  • Form various types of U.S. and Mexican business entities and prepare and negotiate organizational documents
  • Draft and negotiate Shareholder Agreements, Member and Partnership Agreement and Operating Agreements
  • Understand the nuances of Mexican Labor Law, hiring and terminating employees in Mexico
  • Draft and negotiate a wide range of commercial contracts including stock purchase agreements, asset purchase agreements, lease agreements, sales and distribution agreements, master services agreements, master consulting agreements, and master subcontractor agreements
  • Assist U.S. clients with the direct purchase and sale of real property in Mexico as well as with the indirect acquisition of real property located in the Restricted Zone through trust instruments
  • Advise U.S clients on the latest developments in Mexican Energy and Constitutional Laws and the effects on foreigners’ participation in energy and natural resources industries
  • Advise U.S. and Mexican clients understand the practical day-to-day differences in managing their businesses abroad and providing personal representation that includes facilitating interactions with representatives in both countries.

  • Assisted multinational pharmaceutical company with interpretation of Mexican Labor Law and legal requirements to terminate employee of Mexican subsidiary
  • Assisted a Mexican company with retail stores in multiple states in Mexico establish business presence in the U.S. and negotiation of commercial lease agreement
  • Assisted U.S. clients purchase oceanfront real property in Mexico through banking trust instruments
